Effective 16 October 2026 (version 1.3.0). These terms are for a limited business evaluation. A Customer is bound by them only when an authorized person accepts a pilot order (section 1). Positions marked as proposed remain subject to review by Massachusetts counsel before any customer signs.
1. Parties, agreement and precedence
These terms are between Signal Fidelity Group LLC, a Massachusetts limited liability company ("SFG"), and the organization named in an accepted pilot order (the "Customer"). Notices and questions to SFG go to help@signalfidelitygroup.com or by post to Signal Fidelity Group, 14 Aegean Lane, Lowell, MA 01854; the Customer's notice address is stated in the pilot order.
The agreement is these terms plus a pilot order accepted by authorized representatives of both parties. The pilot order names the Customer, its authorized participants, the environment, the term, the permitted data, the enabled features, and any charges. If the pilot processes personal information on the Customer's behalf, a data processing agreement is part of the pilot order.
Order of precedence: a signed pilot order, then an executed data processing agreement for processing questions, then these terms, then the privacy notice, which describes information handling and does not expand what the order promises. Installing the Teams app, creating an account, or an action taken by Ally or any automated process is not acceptance of these terms by the Customer; only an authorized person's acceptance of a pilot order is.
2. Access and the pilot
For the pilot term, SFG grants the Customer a limited, non-exclusive, non-transferable right for its authorized participants to use the CommsRx Azure private pilot and the CommsRx with Ally app for Microsoft Teams for internal evaluation of communications work. Resale, service-bureau use and accounts for third parties need separate agreement.
The Customer is responsible for its participants, for the accuracy of account information, for protecting credentials, and for reporting suspected unauthorized use. Participants use only the assignments they are authorized to use. The Teams app supports personal conversations and requires a CommsRx account mapped to the participant's Microsoft identity.
The pilot does not include every connector, autonomous workflow, enterprise control or service level described in product plans. Features may change during the term; SFG gives reasonable notice before withdrawing a feature the order names.
3. Ally, human judgment and review
Ally provides analysis, interpretation, strategic recommendations, ideas and draft communications. She may challenge a brief, draw implications or propose a course of action. A recommendation, a scenario or a draft is a proposal: it is not evidence that a fact is established, that a company has decided something, or that anything is approved.
Output may be incomplete, inaccurate, non-unique or unsuitable. The Customer applies its own professional judgment, verifies facts and sources, and obtains the internal, medical, legal, regulatory, disclosure and other reviews it requires before relying on or distributing any work. CommsRx does not replace those reviews, does not provide clinical, legal, investment or regulatory advice, and does not guarantee compliance.
Human responsibility for publication. Nothing leaves the Customer's organization because Ally drafted it. A person with the Customer's authority decides what is published or sent, and the Customer does not present an AI draft as an approved position without its own approval. This does not require new approvals for ordinary drafting inside the pilot.
4. Customer Content and permitted data
"Customer Content" is material the Customer or its participants submit or connect, and the Customer-specific work the service creates from it, excluding SFG Technology (section 5). The Customer is responsible for having the rights, notices and permissions needed for SFG to process Customer Content as instructed.
The Customer grants SFG and its providers a limited right to host, copy, transmit, analyze, transform and display Customer Content only as needed to provide, secure, support and administer the agreed service, to comply with law, and to exercise the parties' rights under this agreement. Ownership of Customer Content does not transfer to SFG.
Permitted data in the initial pilot. The initial pilot permits fictional or synthetic material and public, non-sensitive material that participants are authorized to use. De-identified material requires specific review before use. Confidential, embargoed and material non-public information, and protected health information, are not permitted unless separately authorized under an appropriate agreement and in a deployment verified for those data classes. Payment card data, credentials and other legally restricted data are not permitted. A signed scope alone does not establish technical or legal readiness for a data class; removing names does not by itself make health information de-identified; anonymized trial or business material can still be confidential or market-sensitive.
Accidental submission. If restricted material is submitted, the Customer notifies help@signalfidelitygroup.com. SFG removes the assignment from view, records the request, erases what it can under section 9, and reports what remains. The service does not automatically detect every such submission.
No training on Customer Content. SFG does not use Customer Content to train or fine-tune general-purpose or cross-customer AI models, and does not authorize a third party to do so, without separate express authorization. Customer-specific storage, retrieval and contextual adaptation used to provide the pilot are described in the privacy notice and the agreed pilot scope. No "service improvement" right in this agreement permits pooling Customer Content across customers or using it to train models.
5. Ownership, product IP and output rights
The Customer's inputs. The Customer keeps the rights it already owns or is authorized to exercise in its inputs, including briefs, prompts, instructions and message frameworks its people write. Submitting third-party public material does not make the Customer its owner.
SFG Technology. SFG and its licensors keep their rights in CommsRx: the software, system prompts, orchestration, methods, templates, documentation and pre-existing materials, and improvements that do not incorporate the Customer's confidential information. Customer confidential content does not become SFG Technology because it is entered through the product or appears in a proposed improvement. The Customer receives service access, not source code, prompts, model configuration or methods.
Outputs. As between the parties, and to the extent applicable law and third-party rights permit, the Customer owns the Customer-specific outputs delivered to it, and SFG assigns any rights it has in them to the Customer, subject to SFG Technology. AI-generated output may not qualify for copyright or other exclusive protection, similar output may be generated for others, and SFG does not promise uniqueness, exclusivity or non-infringement of every output.
Embedded SFG material. Where SFG Technology, such as a template or framework, is embedded in a delivered output, SFG grants the Customer a perpetual, non-exclusive right to use, reproduce, adapt and distribute that embedded material as part of its legitimate use of the output, including through its authorized service providers, and that right survives termination. It does not transfer ownership of the platform or a standalone right to commercialize SFG's underlying technology. SFG grants no rights it does not hold.
Restrictions. The Customer will not circumvent access controls, seek other customers' information, extract non-public prompts, source code or credentials, reverse engineer the service except where the law forbids that restriction, or use automated extraction to replicate it. General professional knowledge and independently developed work stay free. Lawful security research reporting and non-waivable rights are unaffected.
Feedback. Suggestions the Customer chooses to give may be used by SFG to improve its products without payment. Feedback carries no licence to Customer Content, confidential strategies or personal information that accompanies it, and there is no residual-knowledge clause in this agreement.
6. Confidentiality and publicity
Each party protects the other's non-public information that is marked confidential or should reasonably be understood as confidential, with at least reasonable care. Customer Content is the Customer's confidential information; SFG's software, prompts, methods, security details and commercial terms are SFG's. A receiving party uses confidential information only under this agreement and discloses it only to people and providers who need it and are bound by comparable obligations. The usual exclusions apply: public without breach, already known, independently developed, or lawfully obtained without a duty. A legally required disclosure is permitted with notice where lawful.
Confidentiality obligations continue for three years after termination for ordinary confidential information. Trade secrets stay protected for as long as they qualify as trade secrets under applicable law. Personal information stays protected for as long as applicable law and the data processing terms require. If the parties signed a non-disclosure agreement, the pilot order says which document governs a conflict.
Neither party uses the other's name, logo, materials, conversations or results in publicity, demonstrations, case studies or customer announcements without separate written authorization.
7. Data protection, providers and incidents
SFG processes information as described in the privacy notice and any executed data processing agreement. The pilot uses Microsoft Azure for hosting, Google Cloud's Vertex AI for AI inference and web search, Google's Gemini API for meeting kits, media generation and the engine check's Google lane, OpenAI's and Perplexity's APIs for the engine check's questions, Supabase for authentication, database and file storage, Resend for transactional sign-in and invitation emails, and Microsoft's bot channel for Teams; the privacy notice states where each processes data. Use through Teams does not mean the service or its data sits inside the Customer's Microsoft tenant. The Customer is responsible for its own Microsoft 365 licences and policies, including retention of Teams messages.
SFG maintains safeguards appropriate to the agreed pilot. If SFG confirms unauthorized access to Customer Content within its responsibility, it notifies the Customer without undue delay at the contact named in the pilot order, provides the information it has, and cooperates reasonably, subject to law and to any more specific executed data processing agreement. The escalation route is help@signalfidelitygroup.com, which reaches SFG's founder; no guaranteed response time is promised unless the pilot order states one. This agreement promises no certification, regulatory status, zero retention or absolute security.
8. Fees, support and changes
Proposed defaults: the pilot is free unless the pilot order says otherwise; it does not convert automatically into a paid subscription; there are no automatic renewals. The Customer bears its own third-party licences and connectivity. SFG's provider costs create no payment obligation for the Customer.
Support is by email during the pilot, without a guaranteed response or resolution time unless agreed in writing. A production subscription, service levels, a wider data scope or fees need a separate agreement or amendment. A revised website notice does not amend a signed pilot order.
9. Term, suspension, termination and exit
The pilot runs for the term in the pilot order. Either party may end it on seven days' written notice. SFG may suspend access immediately only where reasonably necessary to address a security incident, prohibited use under section 4, unlawful activity or a legal requirement, and tells the Customer why and how access is restored, where lawful. For other material breaches, the non-breaching party may terminate if the breach is not cured within ten days of written notice.
On termination the access right ends and the Customer keeps the output rights in section 5. The pilot order states the export window; during it, SFG gives the Customer's authorized representative reasonable access to Customer Content and an agreed export, subject to technical feasibility and security. After the pilot, or earlier on a verified request, SFG erases the Customer's pilot data from its application records and files through its operator procedure and confirms what was erased; the erasure schedule for an external pilot is agreed in the pilot order, and no fixed deadline is promised here. Provider backups age out within seven days of erasure; copies in Microsoft 365 and exports the Customer holds are outside SFG's control. Removing an assignment inside the product hides it and does not erase it. Confidentiality, ownership, accrued payment obligations, limitations of liability and provisions meant to survive continue.
10. Warranties and liability (proposed allocation, for counsel)
Each party represents that it has authority to enter into the agreement. Except for express commitments in it, and to the extent the law permits, the pilot is provided "as is" and "as available". SFG disclaims implied warranties of merchantability, fitness for a particular purpose and non-infringement, and does not warrant uninterrupted availability, error-free output or any business outcome. Nothing excludes liability that cannot lawfully be excluded.
Proposed: neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or lost profits. Each party's aggregate liability under the agreement is limited to the greater of the fees paid or payable by the Customer under the pilot order in the twelve months before the event giving rise to the claim, or US$1,000. For a free pilot that is US$1,000. The limits do not apply to fraud, wilful misconduct, liability that cannot lawfully be limited, or the Customer's obligation to pay agreed fees.
For counsel: the enforceability of the cap under Massachusetts law; whether confidentiality breaches, security incidents involving Customer Content, and intellectual-property claims should sit outside the cap or under a separate, higher cap; and the drafting of any indemnity. This draft grants no indemnity in either direction, and any higher separate cap is an open business and legal choice, not a commitment.
11. General
Proposed governing law and forum: the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws rules, and the state and federal courts located in Massachusetts, whose jurisdiction the parties accept. No arbitration agreement and no class-action waiver are proposed. Mandatory law that applies regardless of choice stays controlling.
Neither party assigns the agreement without the other's consent, except to an affiliate or a successor to substantially all of its relevant business that assumes the obligations. Neither party is liable for delay caused by events reasonably outside its control, except payment obligations, and each mitigates where it can. Changes need agreement by authorized representatives. If a provision is unenforceable it is limited to the extent needed and the rest continues. Not enforcing a term is not a waiver. The parties are independent contractors. These terms and the accepted pilot order, with any incorporated data processing agreement or non-disclosure agreement, are the entire agreement for the identified pilot.
12. The pilot order
The pilot order is SFG's template completed for the Customer: the fields it settles (participants, environment, term, permitted data, features, charges, export window, erasure schedule, incorporated agreements), the readiness checks SFG completes before offering it, and the acceptance record are supplied with the order. Until a pilot order is accepted by both parties, no customer pilot exists under these terms.
